years experience in electrical engineering with special
expertise in digital design. Having founded M&A
Technology in 1984, he drove sales to record proportions
to $39,000,000 in 1999. Prior work experience includes
Flexible Computer, Inc., Unisystems International, Singer
Enterprises, and Texas Instruments and as a communication
engineer for the Egyptian Government. He has a Master
of Science in Electrical Engineering, MSEE, Southern
Methodist University, Dallas, Texas and Bachelor of
Science in Electrical Engineering, BSEE, Alexandria
University, and Alexandria, Egypt.

Val has twenty-five
years experience in software from assembly language
to C and twenty years experience in the UNIX operating
system and its variants. He has been a leader in the
development of Web-based infrastructure for the education
marketplace. Having joined M&A in January 1993 as
Vice President of UNIX product development he is responsible
for testing all systems and components for compatibility,
interoperability, and reliability. He has also served
a variety of technical positions at Reaves Research,
Carondelet Health Care, Dallas Diagnostic Association,
Sandoz Pharmaceuticals, and Dresser Industries, Inc.

| Richard
Carrington has held senior management positions with both
public and private companies. Prior to joining M&A,
he was Chief Financial Officer of Constellation Communications
and before that, was President and CFO of TransCare Corporation.
He was formerly a Partner and Chief Financial Officer
of Wyndham Hotels and was Chief Executive of First RepublicBank
Corp. He has also held senior financial positions with
Merrill Lynch in New York and American Airlines in Dallas/FortWorth.
He earned his BA. From the University of Virginia and
a MBA from Harvard Business School. |

Mike has twenty-eight
years experience in sales and sales and marketing management
in the computer hardware and component industry. After
attending Midwestern University in Wichita Falls, Mike
joined Coit International in Dallas where he advanced
to Vice President of Sales in three years. Following
his seven years in the textile industry, he worked in
the area of high tech hardware and software sales and
sales and marketing management from 1978 until he joined
M&A in 1990. Mike was instrumental in taking M&A
from $700,000 in sales revenue in 1990 to an excess
of $50,000,000 in 2001.

| Having
joined M&A in June 1998 Bruce holds valid Texas Teaching,
Administrative, and Superintendent Certificates. Prior
to joining M&A Bruce served as Chief Information Officer
for Region 10 Education Service Center in Texas. While
with Region 10 he oversaw the complete overhaul of all
computer and telephony services, managed the operation
of a Multi-Regional Mainframe Data Processing Cooperative
as well as orchestrated the negotiations on software and
hardware platforms available to all K-12 districts in
the entire state of Texas. He also spearheaded the implementation
of Computer Networks in the North Texas Area in the early
1990s and trained personnel in other service centers to
be able to duplicate the process in their areas. A frequent
presenter at service center gatherings and other educational
technology meetings, Bruce has an established reputation
with Texas Educators. He holds a BS and M.Ed. from Sul
Ross State University and a Doctorate from East Texas
State University. |
